Welcome to the ProQuery Family of Services!

ProQuery, ProQuery Insure, and ProQuery Deals (collectively referred to as the “Services”) are operated by PROQUERY Pty Ltd (“Company,” “we,” “us,” or “our”). By accessing or using any of the Services, you (“User” or “you”) agree to these Terms of Service (“ToS”). If you do not agree, please discontinue use immediately.

1. Description of Services

The ProQuery family includes:

• ProQuery – A WhatsApp-based AI chatbot that lets users search and retrieve information from company documents (SOPs, HR policies, legal files, pricing tables, FAQs, etc.) and receive instant summaries and attached files.

• ProQuery Insure – An AI-powered tool for insurance brokers and financial advisors that analyses client needs, scans and cross-references thousands of current South African insurer policy wordings, exclusions, and premium tables, and instantly generates personalised, fully-compliant insurance reports and recommendations.

• ProQuery Deals – An AI deal-finding service that continuously monitors prices across South African retailers and suppliers (groceries, tech, office supplies, fuel, data contracts, etc.) and notifies users of the best available deals to help households and businesses save money every month.

All Services are delivered primarily via WhatsApp or other supported messaging platforms and are designed to save time, reduce costs, and improve efficiency.

2. Eligibility • Age Requirement: You must be at least 18 years old to access or use the Services. • Authority: By using the Services, you confirm you have the legal authority to agree to these terms on behalf of yourself or the entity you represent.

3. User Obligations Accurate Information You agree to provide accurate and truthful information when interacting with any of the Services.

Prohibited Use

You may not:

• Use the Services for any unlawful or fraudulent purposes.

• Transmit spam, malware, or other malicious content.

• Attempt to reverse-engineer, copy, or interfere with the Services.

• Use ProQuery Insure outputs as the sole basis for binding insurance contracts without your own professional review and verification.

• Use ProQuery Deals to engage in bulk purchasing, resale, or any commercial activity that violates retailer terms.

Compliance

You are responsible for ensuring your use complies with all applicable laws, regulations, and industry standards (including the FAIS Act, POPIA, and the Consumer Protection Act in South Africa).

4. Service Limitations • Informational & Assistive Nature: All responses and reports from the Services are generated by artificial intelligence and are intended to assist and inform only. They may contain errors or become outdated. • User Responsibility: – For ProQuery & ProQuery Insure: You must always verify retrieved documents and recommendations against the original source and latest versions. – For ProQuery Deals: Prices and availability can change instantly; we do not guarantee a deal will still be available when you act on it. • No Professional Advice: The Services do not constitute legal, financial, insurance, or any other regulated professional advice. You remain fully responsible for your decisions.

5. Intellectual Property All intellectual property rights in the Services, including software, design, trademarks, and branding, are owned by PROQUERY Pty Ltd or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Services.

6. Liability and Indemnity Limitation of Liability To the maximum extent permitted by law, PROQUERY Pty Ltd and its affiliates, officers, employees, and agents shall not be liable for errors, inaccuracies, losses, or damages (including indirect or consequential damages) arising from your use of or reliance on the Services.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Services.

7. Dispute Resolution and Jurisdiction These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved through arbitration in Johannesburg, South Africa, unless otherwise required by law.

8. Modification of Services We reserve the right to alter, suspend, or discontinue any or all of the Services or features at any time. Changes will be communicated via WhatsApp, email, or on our website.

9. Third-Party Tools and Content The Services integrate with third-party platforms, including but not limited to: • WhatsApp (Meta) • Render™ • AWS (Amazon Web Services) • OpenAI (ChatGPT) and xAI (Grok) • Various insurer and retailer APIs and websites (for ProQuery Insure & ProQuery Deals)

We are not responsible for third-party availability, accuracy, or compliance.

10. Force Majeure We are not liable for failure or delay due to events beyond our reasonable control (acts of God, internet outages, government actions, etc.).

11. Termination and Subscriptions

    • You may stop using the Services at any time by ceasing interaction.

    • To cancel an active paid subscription (where applicable), you must contact us at info@proquery.live

    • Simply stopping use does not automatically cancel billing.

    • We may suspend or terminate your access if you breach these Terms.
